General Terms

These Terms of Use (« Terms ») constitute a legally binding agreement between you (« Client ») and [CS ADASTRA LLC] (« Provider ») regarding the use of our website design, search engine optimization (SEO), and branding services.

By engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using our services.

Services Provided

Provider offers the following services:
– Website design and development
– Search engine optimization (SEO)
– Branding and marketing services

Responsibilities of Parties

Provider Responsibilities

The Provider agrees to:
– Carry out work only where an agreement is provided either by email, telephone, mail, or fax
– Use only white-hat optimization techniques that completely follow search engine rules and policies
– Provide reports and deliverables as specified in the service agreement
– Maintain confidentiality regarding Client information

Client Responsibilities

The Client agrees to:
– Make available as soon as reasonably possible all materials, passwords, logins, and any other information required to complete the project
– Ensure that their website is always active and accessible
– Provide timely feedback and approvals as needed
– Pay all fees as outlined in the Payment Terms section

Intellectual Property Rights

Provider retains all rights to their content, including text, graphics, logos, and software used in the provision of services, except where explicitly stated otherwise.

The Client retains ownership of their original content, trademarks, and branding elements provided to the Provider for use in the project.

Payment Terms

– Payment schedules and amounts will be specified in the service agreement
– Search engine optimization (SEO) services require a 30-day cancellation notice
– Late payments may result in service suspension
– All prices are subject to change with prior notice

Disclaimer of Warranties

Provider cannot guarantee any specific results from SEO or marketing efforts. While we strive to improve search rankings and website performance, we cannot guarantee specific positions in search engine results or specific levels of traffic or revenue.

Limitation of Liability

Provider will not be liable for:
– Costs incurred, compensation, or loss of earnings due to the failure to meet agreed deadlines, goals, or targets
– The cost of paid clicks, website traffic, or payments due to Google, Facebook, or any other advertising provider
– Any disputes between the Client and their clients
– Any costs, compensation, or loss of earnings due to work carried out on behalf of the Client

Term and Termination

This agreement will commence on the date of signing and will continue until all deliverables are completed and approved, or until termination of the agreement.

Either party may terminate this agreement with written notice as specified in the service agreement. SEO services specifically require a 30-day cancellation notice.

Miscellaneous

– These Terms constitute the entire agreement between the parties
– Any modifications must be made in writing
– If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect
– These Terms shall be governed by the laws of [NEW MEXICO]
